Terms of Sale
1. Research Use Only — Binding Designation
All peptide compounds and related products sold by Vitalgen Labs ("Company," "we," "us") are designated and sold exclusively as Research Use Only (RUO) materials. These products are intended solely for in-vitro laboratory research and scientific study by qualified researchers operating within lawful research frameworks.
By completing a purchase, the buyer ("Buyer," "you") unconditionally represents, warrants, and agrees that:
- All purchased products will be used solely for lawful in-vitro or laboratory research purposes;
- No purchased product will be administered to, consumed by, or used in or on any human being or animal;
- Buyer is not purchasing products for resale to any end consumer or for any clinical, therapeutic, diagnostic, or cosmetic application;
- Buyer understands that RUO designation does not immunize against liability arising from misuse.
2. Buyer Eligibility
Purchase from Vitalgen Labs is restricted to:
- Individuals who are 21 years of age or older;
- Credentialed researchers, licensed professionals (including but not limited to MDs, PhDs, NPs, and RPhs), or authorized institutional buyers;
- Individuals or entities with a documented, legitimate scientific research purpose;
- Buyers located in jurisdictions where purchase and possession of the applicable compounds is lawful.
Vitalgen Labs reserves the right to refuse, cancel, or reverse any order at any time if eligibility cannot be confirmed. Submission of false information in an application constitutes a material breach of these Terms.
3. No FDA Approval
No product sold by Vitalgen Labs has been evaluated, cleared, or approved by the U.S. Food and Drug Administration (FDA) under the Federal Food, Drug, and Cosmetic Act for any human or veterinary diagnostic, therapeutic, prophylactic, or clinical use. Products are not drugs, biologics, or medical devices as defined under applicable federal law.
Vitalgen Labs makes no representation, warranty, or claim of safety, efficacy, purity suitability for human use, or compliance with clinical standards for any product.
4. Prohibited Uses
The following uses are expressly prohibited and constitute a material breach of these Terms:
- Administration to, injection by, or consumption by any human being;
- Use in veterinary practice or on any animal;
- Resale to consumers, patients, or any non-qualified buyer;
- Use in any clinical trial, diagnostic application, or therapeutic protocol;
- Use in any jurisdiction where possession or purchase of the applicable compound is unlawful;
- Any use inconsistent with the RUO designation.
5. Buyer's Legal Responsibility
Buyer is solely and exclusively responsible for verifying the legality of purchasing, possessing, and using the applicable compound(s) in their jurisdiction, including compliance with all applicable federal, state, and local laws and regulations. Vitalgen Labs provides no legal advice and makes no representation regarding the legality of any compound in any jurisdiction.
Certain states, including but not limited to Florida, impose specific restrictions on peptide compound vendors and purchasers. Buyers in such jurisdictions must independently verify compliance with applicable Board of Pharmacy regulations and any other relevant rules before submitting an application.
6. Disclaimer of Warranties
ALL PRODUCTS ARE PROVIDED "AS IS" FOR RESEARCH PURPOSES ONLY. VITALGEN LABS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CERTIFICATES OF ANALYSIS REFLECT THIRD-PARTY TESTING AT TIME OF MANUFACTURE AND DO NOT CONSTITUTE A WARRANTY OF ONGOING PURITY OR STABILITY.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VITALGEN LABS AND JEM BRANDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE PURCHASE OR USE OF ANY PRODUCT. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE PURCHASE PRICE PAID FOR THE APPLICABLE PRODUCT.
Buyer assumes all risk of harm arising from purchase, possession, storage, handling, or any use of products inconsistent with their RUO designation.
8. Indemnification
Buyer agrees to indemnify, defend, and hold harmless Vitalgen Labs, JEM Brands, and their respective officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from Buyer's misuse of any product, breach of these Terms, or violation of applicable law.
9. Governing Law
These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Douglas County, Nebraska.
10. Changes to Terms
Vitalgen Labs reserves the right to modify these Terms at any time. Continued purchase after any modification constitutes acceptance of the revised Terms. The effective date of the current version appears at the top of this page.
